Welcome to ProntOwl. These Terms of Service ("Terms") govern your access to and use of the ProntOwl website, services, and applications (collectively, the "Services"). Please read these Terms carefully.

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

2. Using ProntOwl

2.1 Account Registration

To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.2 Account Responsibilities

You are responsible for safeguarding your account and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Educational Funding

3.1 Student Campaigns

When creating a funding campaign as a student, you agree to provide truthful and accurate information about your educational goals, background, and funding needs. Misrepresentation may result in the termination of your campaign and account.

3.2 Backer Contributions

As a backer, you understand that your contributions are intended to support the student's educational expenses as described in their campaign. Funds are provided through our Virtual Credit Card system and any unused funds will be returned to you upon expiration of the VCC.

3.3 Organizations

Organizations participating in ProntOwl agree to honor all scholarships, giveaways, and educational offerings as advertised. Organizations are responsible for ensuring their offerings comply with applicable laws and regulations.

4. Virtual Credit Card System

The Virtual Credit Card (VCC) system is designed to ensure that funds are used exclusively for educational purposes. By using the VCC system, you agree to:

• Use the VCC only for approved educational expenses
• Not attempt to use the VCC for non-educational purchases
• Accept that unused funds will be returned to backers upon VCC expiration
• Allow ProntOwl to monitor VCC usage for compliance purposes

5. Twitter Giveaways

Twitter giveaways on ProntOwl are subject to the following terms:

• Giveaway sponsors must honor all advertised prizes and scholarships
• Participants must meet all stated eligibility requirements
• ProntOwl will conduct random selection of winners based on stated criteria
• Winners must complete the onboarding process to receive their scholarship
• Giveaways must comply with Twitter's terms of service and applicable laws

6. Fees and Payments

ProntOwl charges fees for the use of certain Services. Fees are clearly disclosed before you complete a transaction. By using the fee-based Services, you agree to pay all applicable fees.

Payment processing fees are included in the platform fee and vary depending on the payment method used. These fees cover the costs of securely processing transactions, issuing VCCs, and maintaining the payment infrastructure.

7. Content and Intellectual Property

7.1 User Content

You retain ownership of any content you submit to the Services, but you grant ProntOwl a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and distribute such content for the purpose of providing and promoting the Services.

7.2 ProntOwl Content

The Services and all content and materials available through the Services, including but not limited to logos, designs, text, graphics, and software, are owned by ProntOwl or its licensors and are protected by intellectual property laws.

8. Termination

ProntOwl may terminate or suspend your account and access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PRONTOWL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

IN NO EVENT WILL PRONTOWL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICES.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions.

12. Changes to Terms

ProntOwl reserves the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on the Services and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
